Emmes, a global full-service contract research organisation, has undergone a phase of successful geographic and product expansion since 2019, while being majority-owned and backed by private equity fund Behrman Capital. Over the last eighteen months, the Emmes group entered the European market by acquiring Czech contract research organisation NEOX s.r.o. and subsequently completed four add-on acquisitions in the US, UK and Germany.
Shareholders of the Emmes group have decided to support its further growth by selling 100% of the shares to New Mountain Capital, LLC, a private equity fund managing assets exceeding USD 37 billion. In doing so, they brought in a capital-rich owner and established prerequisites for the group’s long-term development.
Two clients of Merger Vision acquired shares in the Emmes group by rolling-over part of the proceeds obtained from the sale of NEOX s.r.o. Eighteen months after the first transaction was completed, Merger Vision advised them on their exit from the US-based parent company.
Merger Vision helped us negotiate terms of our roll-over investment into the Emmes Group in 2020 and now, while selling our shares, advised us on completing all transaction documents and settling the transaction. We were delighted with the roll-over investment and services of Merger Vision.
